RECALL INFOLINK TERMS OF SERVICE

LAST UPDATED: MAY 6, 2026

PART 1: USING OUR PLATFORM

Introduction to the Terms

These Terms of Service (“Terms” or “Agreement”) govern your access to and use of Recall InfoLink’s software platform (“Software”) for managing product recalls.

Recall InfoLink is a network for product recall management. Any account on the platform can send recall notifications, receive them, or both—the flow of information is two-way, and your role is not fixed. Because the platform connects the people who send events (initiators) with the people who receive them (responders), these Terms address how that relationship works, including how the platform is used, how shared content is owned, and your responsibilities versus ours.

There are two types of accounts governed by these Terms:

Contact Account: A contact account is automatically created when you receive your first event notification, linked to the contact channel (email, sms, fax, etc.) used to reach you. By accessing the event through any method—including clicking a link or entering a PIN—you agree to these Terms. All subsequent events sent to the same contact channel will be accessible through this account.

User Account: You must create a user account when you add additional contact channels to your contact account, accept an invitation to join a company, or request to join an existing company. In some cases, your company may create a user account for you directly without an invitation. If you already have a contact account, it converts to a user account rather than creating a new one, preserving your existing event history. You can also consolidate several contact accounts to merge event history (for example, events received at your email address with those received on your SMS number). A user account allows you to access additional features, some for free and some requiring payment. By creating a user account, or accessing a user account created for you by your company, you agree to these Terms.

A contact or user account may optionally create a company structure to enable collaboration across your organization. A company account is required if you need to invite other people in your organization to collaborate on initiating or responding to events. If you create a company account from your contact account, that account is automatically upgraded to a user account. The contact or user account that creates the company account is designated as the Company Owner.

As Company Owner, you represent that you have the authority to accept these Terms on behalf of your organization, invite or accept other users into the company account, and accept financial responsibility for any fees associated with company-level activity. These responsibilities follow the Company Owner if you transfer ownership to another user. Creating or joining a company account does not change your individual obligations under these Terms.

Your Responsibilities

Your Account. Your account belongs to you and you are responsible for all activity that occurs under your account. Do not share your account with others. If other people need to access the platform on your behalf or in addition to you, you must create a company and add or invite them to it so they end up with their own distinct and separate user accounts. We are not responsible for unauthorized access to your account.

Fees and Access. Responding to recall notifications is free, including creating and maintaining user and company accounts for that purpose. Using other features, such as initiating events, may require a paid plan. Terms and fees are set out in the Pricing Addendum.

All fees are due within 10 days of invoice. We reserve the right to suspend your access and that of all other users in your company account if you fail to pay your fees when they are due.  Overdue amounts accrue a late payment charge of 1.5% compounded monthly, or the maximum rate permitted by applicable law, whichever is lower. If we need to take collection action on unpaid amounts, you agree to reimburse our reasonable costs, including attorney fees.

Fees do not include duties, taxes, or other amounts imposed by any governmental authority, other than taxes on our net income. You are responsible for all such amounts and will pay or reimburse us upon request, or provide documentation of any applicable tax exemption.

Your Content. "Your Content" refers to anything you create, submit, input, upload, or receive through the platform. This includes, but is not limited to:

  • Incidents and events you draft, initiate, expand, or continue
  • Updates or changes to an event after it has been initiated
  • Copy and attachments you include with an event
  • Responses you submit to events you receive
  • Default copy and assets you provide to set up or customize your account, such as pre-populated event templates, logos, banners, etc.
  • Products and customer contacts and distributions information you add/upload to events.
  • Event history linked to your account (your sent/received events feed)

Before you initiate an event, content you create but have not yet initiated belongs entirely to you. When you initiate an event to your customers, you share Your Content with them. What you share is owned jointly with each customer. It exists in your record and in the recipient's record. You may edit and re-issue the event, but you cannot remove it from a recipient's account. This shared ownership works in both directions. Content you receive as a responder becomes part of your record in the same way, remaining accessible to you regardless of any action the initiator takes after initiation.

If all of your recipients in all of your events are part of and within the control of your organization—such as a chain retailer managing recalls across its own locations—content removal requests may be accommodated at our discretion.

You must have the right to use and distribute any content you submit. Your Content must be accurate, lawful, and free from viruses or malicious code. You may not submit unauthorized, offensive, or infringing material.

If we believe any uploaded content violates the law, infringes on third-party rights, or breaches these Terms, we may ask you to remove it. If you don’t act within two business days, we may disable or delete the content or suspend your access. In urgent cases, such as illegal content or security threats, we may act without prior notice, but will notify you afterward unless legally prohibited. We may terminate accounts of repeat offenders.

You give us permission to use Your Content to provide services to you and others on your account. We will only access Your Content to maintain the service or comply with legal obligations. We will not disclose Your Content to a government or third party unless required by law or a binding government order. If we are legally allowed to, we will notify you before taking any such action. We will handle your account information according to our Privacy Policy, which you agree to by using our Software. The Privacy Policy applies to account information, not the content you upload to the system.

If your account is terminated, you may request a copy of Your Content, but we may keep Your Content in our system if we’re legally required to.

Acceptable Use. You may only use our Software for legitimate, recall-related activities—such as sending notifications, tracking responses, managing inventory, or generating reports. You may not use the platform for spam, unrelated solicitation, offensive or illegal content, security testing, or any activity outside its intended purpose. Avoid misuse that defies common sense (e.g., sending automated calls late at night).

You may not access the platform through unauthorized means, including scraping tools, bots, or other automated systems, unless explicitly approved by us in writing. Access is only permitted through the official user interface provided by Recall InfoLink.

If you initiate events, you agree to provide or maintain accurate and up-to-date contact information on the platform. This includes removing any contact information that was not provided directly or no longer provides valid consent to receive messages. You are also responsible for obtaining all applicable legally required consents (including requirements under the General Data Protection Regulation), and complying with all applicable privacy laws and regulations when processing personal data using our platform. We reserve the right to inactivate contact information that results in delivery failures, is flagged as spam or junk, or is otherwise unreachable.

You must comply with all applicable laws—including U.S. export laws—when using the Software. You may not modify, reverse engineer, copy, distribute, or interfere with the platform’s features or security systems. If prohibited by law from using the platform, you may not access it. Nothing in these Terms limits rights granted to you under applicable law (such as EU software directives).

Termination. Either party may terminate this agreement for any reason with 30 days written notice. If you materially breach these Terms and do not fix the issue within 10 business days of written notice, the agreement may be terminated. Violations of Confidentiality and IP, as outlined below, may result in immediate termination without notice.

Upon termination, your right to use the platform ends immediately, and your access will be revoked. You must delete or return any materials containing our confidential information. Some obligations—including confidentiality and outstanding payment responsibilities—will survive termination.

PART 2: LEGAL TERMS & PROTECTIONS

General

Our Software. “Our Software” means all or any portion of our cloud-based software, in machine-readable, human-readable, intermediate, executable, linkable, or editable form, together with any other software materials—including libraries, header files, and data files—together with any updates or upgrades thereto provided by us or otherwise made available to you, but not including any open source software as otherwise indicated in the software distribution packaging.

We will make our Software available 24 hours a day, 7 days a week, except for planned downtime, Internet service provider failures or delays, or denial of service attacks, or Force Majeure.

Changes to Services. We may update our Software with improvements, patches, bug fixes, or other maintenance to our services. We may change or discontinue our Software over time. If we remove a major feature you rely on, we will give you at least 6 months' notice unless the change is required to address an emergency or risk of harm to Recall InfoLink, respond to claims, litigation, regulation, or loss of license rights related to third party intellectual property rights, or comply with law.

Support. We will use commercially reasonable efforts to provide prompt and comprehensive support to our users. If you have a question about the Software, please email us at customersupport@recallinfolink.com.

Legacy Browsers. We cannot guarantee service quality, availability, and continuity, when you use legacy browsers to access our Software.

API usage. Use of our API to access our Software is not included in these Terms.

Privacy

Privacy Policy. Our use of personal data is governed by our Privacy Policy. You agree to that policy by using our Software. Because we process personal data as part of our services, these Terms include basic provisions about how we handle that information. However, if there’s ever a conflict between these Terms and our Privacy Policy, the Privacy Policy will control since it is designed to comply with privacy laws and regulations.

Processing and Security. We will protect Your Content using reasonable and appropriate measures against accidental or unlawful loss, access, or disclosure. Our Software will process personal data included in Your Content only for recall-related activity, and never for any marketing or unauthorized purposes.

Confidentiality & IP

Our Software and Improvements. The Recall InfoLink platform, and any improvements to it, belong entirely to us. If you make any improvements to our Software, they automatically belong to Recall InfoLink under U.S. copyright law ("work made for hire"). If for some reason the law says it’s not a “work made for hire,” you agree to transfer all rights—including patents, copyrights, trade secrets, and any other ownership rights—to us without expecting separate payment. You also agree to give up any claim you might have to special personal rights, such as the right to stop changes to your work, related to those improvements.

Confidentiality. Initiators and responders are both bound by the same confidentiality obligations. “Confidential information” means any non-public information that is marked confidential or would reasonably be understood to be confidential given the nature of the information and the circumstances. This includes these Terms, Your Content, recall details, contact lists, processes, audit reports, and any financial, technical, or business materials.

Confidential information does not include information that (i) is publicly available without breach of these Terms, (ii) was lawfully known to the receiving party before disclosure, (iii) was disclosed by another source without restriction, or (iv) is independently developed without reference to the confidential information. Unless authorized in writing, the receiving party must (i) use confidential information only to fulfill its obligations under these Terms, and (ii) share it only with employees, legal advisors, or contractors who need access and are under confidentiality obligations.

Each party must protect the other’s confidential information with the same degree of care it uses for its own—no less than reasonable care. This includes preventing unauthorized access, use, or disclosure. You may not share or use Recall InfoLink’s confidential information (including the Software) for any purpose not allowed by these Terms, except as required by law.

Trade Secrets. In addition to trade secrets, you agree that our proprietary information will be protected under these Terms. Proprietary information does not include anything that is already public (unless it became public because you violated these Terms) or Your Content. If any information that we treat as a trade secret is later found by a court not to qualify legally as a trade secret, you agree it will still be treated as our proprietary information under these Terms. You also waive any requirement that we prove the economic value of any trade secret.

Infringement Remedies. If our Software becomes, or in our opinion is likely to become, the subject of an intellectual property claim, infringement or trade secret misappropriation, we may, at our sole option and expense, either (i) procure for you the right to continue using our Software; (ii) replace or modify our Software as we deem necessary; or (iii) terminate these Terms and service. The provisions of this section are your sole and exclusive remedy with respect to any claim or potential claim of infringement brought by any third party.

Disclaimers and Limitations

Warranties. The Software, and all materials and content available through it, are provided “as is” and on an “as available” basis. We disclaim all warranties of any kind, whether express or implied, including (i) any implied warranty of merchantability, fitness for a particular purpose, title, quiet enjoyment, or non-infringement; and (ii) any warranty arising out of course of dealing, usage, or trade.

We do not guarantee that the Software will be uninterrupted, secure, or free of errors, viruses, or other harmful components. We also do not guarantee that any issues will be corrected. No advice or information, whether oral or written, that you obtain from Recall InfoLink or our representatives creates any warranty that is not expressly stated in these Terms. You use the Software at your own discretion and risk. We are not responsible for any damage to your property—including your computer system or mobile device—or for any loss of data, including Your Content, that may result from your use of the Software or your interactions with other users.

The limitations, exclusions, and disclaimers in this section apply to the fullest extent permitted by law. We do not disclaim any warranty or other right that we are prohibited from disclaiming under applicable law.

Anti-Corruption. Both parties agree to comply with all applicable anti-corruption, trade sanctions, and export control laws. Neither you nor your company’s users may appear on any government sanctions or restricted party list. If you or any of your users are added to such a list, you must immediately discontinue use of the platform and remove the affected user's access. Either party may terminate this agreement immediately if the other party is in breach of this section.

Limited Liability. To the fullest extent permitted by law, Recall InfoLink and our representatives are not liable to you for any indirect, incidental, special, consequential, or punitive damages—including loss of profits, goodwill, or any other intangible losses—arising out of or relating to your access to or use of, or your inability to access or use, the Software or any materials or content on the Software. This applies whether the claim is based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not Recall InfoLink has been informed of the possibility of such damage.

To the fullest extent permitted by law, the total liability of Recall InfoLink to you for all claims related to your use of the Software will be limited to the greater of $100 or the amount you paid or owe for access to the Software in the 12-month period before the first event giving rise to the claim.

Each provision of these Terms that limits liability, disclaims warranties, or excludes damages is intended to allocate risks between you and Recall InfoLink.  Every provision is independent and enforceable, even if one is found unenforceable. The limitations in this section will still apply even if any limited remedy fails its essential purpose.

Indemnification

Indemnification. You agree to defend, indemnify and hold Recall InfoLink, our agents, and owners harmless from and against any and all losses, claims, damages, liabilities, obligations, costs and expenses (including reasonable attorneys' fees) arising from or based upon (i) product recalls involving or conducted by you; (ii) your use of our Software, associated websites, or Your Content; or (iii) any claim that Your Content infringes or violates the rights of any third party, any breach of your representations or warranties, or any act or omission of you or anyone acting on your behalf.

If you are defending a claim, we will provide you, at your expense and within a reasonable timeframe, with any information and assistance you reasonably request. You may not agree to any settlement that imposes obligations on us, requires us to make an admission, imposes liability not covered by these indemnifications, or places restrictions on us without our prior written consent.

Other Legal Provisions

General. These Terms, together with any Additional Terms, our Privacy Policy, and any other agreements expressly incorporated by reference into these Terms, are the entire and exclusive understanding and agreement between you and Recall InfoLink regarding your use of the Software. You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these Terms at any time without notice or consent. The failure to require performance of any provision will not affect our right to require performance at any other time after that, nor will a waiver by us of any breach or default of these Terms, or any provision of these Terms, be a waiver of any subsequent breach or default or a waiver of the provision itself.

Use of section headers and courtesy summaries in these Terms is for convenience only and will not have any impact on the interpretation of any provision. Throughout these Terms the use of the word “including” means “including but not limited to.” If any part of these Terms is held to be invalid or unenforceable, the unenforceable part will be given effect to the greatest extent possible, and the remaining parts will remain in full force and effect.

Neither party will be liable for any delay or failure to perform under these Terms due to causes beyond its reasonable control—including acts of God, war, terrorism, natural disasters, epidemics, labor disputes, governmental actions, or Internet outages—except for obligations to pay money. If such an event occurs, the affected party will notify the other and use reasonable efforts to resume performance.

Contact Information. The Software is offered by Recall InfoLink Inc., located at 2812 North 28th Street, Boise, ID 8370, and within the European Economic Area, Recall InfoLink, GmbH, located at Ritzmannshofer Strasse 1a 90768, Fürth, Germany. For formal notices, correspondence to us should be directed to the appropriate address above, with a copy to our legal counsel at Hawley Troxell, 877 W. Main St., Suite 100, Boise, Idaho 83702, Attn: Brad Frazer.

Governing Law and General Provisions. These Terms will be governed by the laws of the State of Idaho, excluding the application of its conflicts of law rules. In any action or proceeding to enforce rights under these Terms, the prevailing party will be entitled to recover costs and attorneys' fees. Venue for any action or proceeding under these Terms will be in a federal or state court of competent jurisdiction located in Ada County, Idaho.

Injunctive Relief. You agree that we are entitled, in addition to any other remedy available to it at law or in equity, to apply to any court of competent jurisdiction, without the need for posting any bond or other security, for an immediate order to restrain or enjoin any breach and otherwise specifically to enforce the provisions of these Terms.

Modified Terms. We reserve the right to change these Terms on a going-forward basis at any time upon notice. Please check these Terms periodically for changes. If a change to these Terms materially modifies your rights or obligations, we may require that you accept the modified Terms in order to continue to use the Software. Changes are effective upon publication or if we require your acceptance of them. Disputes arising under these Terms will be resolved in accordance with the version of these Terms that was in effect at the time the dispute arose.

Remedies. Except as otherwise expressly provided in these Terms, each and all of the rights and remedies provided herein, and each and all of the remedies allowed at law and in equity, will be cumulative, and the exercise of one right or remedy will not be exclusive of the right to exercise or resort to any and all other rights or remedies provided in these Terms or at law or in equity.

Construction of Terms. Both parties agree that they have had the opportunity to review and consider these Terms. They will be enforced, interpreted, and construed without regard to who wrote them, and no inference about their meaning or intent will be drawn by either party, any third party, or any court based on their authorship.
